
STATUTES OF THE ADAM MICKIEWICZ INSTITUTE
AND THE LETTER OF INTENT
The Adam Mickiewicz Institute was founded on 1 March 2000. This was preceded by an agreement concluded in 1999 between Andrzej Zakrzewski, the Minister of Culture and Art, and Professor Bronislaw Geremek, the Minister of Foreign Affairs. The Ministers signed a letter of intent which defined the scope of cooperation between the two Ministries in the area of promoting culture.
STATUTES OF THE
ADAM MICKIEWICZ INSTITUTE
The Current Statutes of the Adam Mickiewicz Institute was granted by the Minister of Culture and National Heritage Bogdan Zdrojewski by the order No. 19 of 1 June 2008, pursuant to Art. 13. Section 1 of the Act of 25 October 1991 on the organization and execution of cultural activity (Journal of Laws of 2001 No. 13, Item 123, as amended2)).
CHAPTER I
GENERAL PROVISIONS
§1.
The Adam Mickiewicz Institute, hereinafter referred to as the "Institute", is a state cultural institution which operates pursuant to Act of 25 October 1991 on the organization and execution of cultural activity (Journal of Laws of 2001 No. 13, Item 123, of 2002 No. 41, Item 364, of 2003 No. 96, Item 874, No. 162, Item 1568 and No. 213, Item 2081, of 2004 No. 11, Item 96 and No. 261, Item 2598 and of 2005 No. 131, Item 1091 and No. 132, Item 1111 and of 2006 No. 227, Item 1658), order No. 7 by the Minister of Culture and National Heritage of 14 March 2006 on division of the state cultural institution - Adam Mickiewicz Institute and formation of state cultural institution - Adam Mickiewicz Institute and state cultural institution - the National Centre for Culture (Official Journal of the Ministry of Culture and National Heritage, No. 2, Item 14) and these Statutes.
§2.
The Institute is a legal entity.
§3.
1. The seat of the Institute is the capital city Warsaw, its territory of activity - the Republic of Poland. The Institute may also perform its activities outside the Republic of Poland.
2. The Institute may create branches, centres and divisions in Poland.
3. The organizer of the Institute is the Minister of Culture and National Heritage, hereinafter referred to as the "Minister".
4. The Institute is registered in the register of cultural institutions, kept by the Minister, under number RIK 70/2006.
5. The Institute is supervised by the Minister.
CHAPTER II
THE SCOPE OF THE INSTITUTE'S ACTIVITIES
§4.
1. The objective of the Institute's activities is to popularize at an international forum the historical and contemporary achievements of Polish culture in such a way as to promote Poland abroad as part of the state cultural policy and in accordance with the basic principles of foreign policy and foreign cultural policy of the Republic of Poland.
2. In the execution of its statutory objectives, the Institute cooperates primarily with:
1) units responsible for the development and execution of the state policy as part of international cooperation and cultural exchange, promoting Poland, especially through public and cultural diplomacy;
2) foreign units subordinate to the Minister of Foreign Affairs, including Polish Institutes with which the Institute consults programme ventures regarding particular states and regions;
3) renowned foreign institutions of culture, science, media and research centres, as well as non-governmental organizations;
4) foreign Polish culture and language study centres as well as other institutions and organizations popularizing Polish history and culture;
5) individual scholars and popularizers of Polish history and culture, including historians, literature specialists, translators of Polish literature, art curators, organizers of music, theatre and media projects, and journalists;
6) organizations and institutions of Poles and the Polish communities abroad, distinguished in the area of popularizing Polish culture and history.
§5.
1. The Institute carries out tasks set forth in § 4, especially through:
1) popularization of Polish cultural activities in the international arena;
2) dissemination of knowledge about Polish history and its pluralistic (in the regional, linguistic, ethnic and religious aspects) cultural heritage in the international arena;
3) cooperation with other entities for the creation of a coherent promotional image of the Polish cultural identity;
4) stable cooperation in terms of programme with foreign posts of the Ministry of Foreign Affairs, among others through the preparation of joint promotional projects, as well as means to their realization: concepts, materials, study visits of foreign specialists, etc.;
5) preparation and coordination of the execution of projects promoting Polish culture in the form of programme offers prepared by cultural institutions or individual curators, chosen by means of competitions or commissioned by the Minister or the Minister of Foreign Affairs;
6) cooperation with domestic cultural institutions in order to support their cultural initiatives in the international arena;
7) activities for efficient functioning and constant updating of the integrated system of information about Polish culture, heritage and language;
8) constant supply, mainly as part of cooperation with foreign posts of the Ministry of Foreign Affairs, of foreign popularizers, scholars and specialists in various fields, with the necessary materials and information (press, books, musical scores etc.);
9) creation of sets of informational and promotional materials as well as works about Polish culture, as part of projects, as stipulated in Para. 4;
10) publication of foreign-language materials as part of cooperation with foreign specialist press or in the form of separate publications, in the culture promoting magazines in traditional or electronic form;
11) funding of foreign scholarships for Polish artists and specialists in the area of culture, as well as domestic scholarships for foreign artists and specialists in the area of culture from the means at the disposal of the Institute;
12) supporting with financial and promotional instruments the foreign editions, on various media, of translations of Polish literature and writings from the area of humanities, as well as foreign publications on the subject of the history of Poland and its culture;
13) preparation, on commission of the Minister and the Minister of Foreign Affairs, and realization of the Polish cultural offer during international cultural events abroad;
14) coordination of the realization of projects related to the celebrations of important anniversaries and other events of great importance for the Polish culture which take place in Poland and abroad;
15) initiatives that foster the growth in professionalism among the domestic centres and institutions, also non-governmental ones, in the area of a capability to conduct foreign activities of a promotional character in the areas of culture and national heritage;
16) raising non-budget funds and expenditure in the realization of the Institute's aims.
2. As part of its activities, the Institute can also present in Poland cultural events realized as part of the activities referred to in Section 1 Para. 1, 2 and 9 presented abroad.
3. The Institute, operating by authorisation of the Minister:
1) may cooperate with representatives of foreign diplomatic posts in Poland during the execution of projects in Poland arising out of international obligations of Poland undertaken as a result of the mutuality principle;
2) coordinates the Polish participation in selected Community programmes.
CHAPTER III
ORGANIZATION AND MANAGEMENT
§6.
The Institute authorities are: the Director of the Institute and the Board of the Institute.
§7.
1. The Director of the Institute manages and represents the Institute.
2. The obligations of the Director of the Institute include realization of the statutory tasks, in particular:
1) responsibility for the ongoing Institute activity;
2) development of strategy, long-term action plans and budget plans of the Institute;
3) supervision and coordination of the execution of the action plans and budget plans prepared for the Institute;
4) issue of internal regulations.
3. The Director of the Institute is appointed by the Minister following consultations with the Minister of Foreign Affairs.
4. The Director of the Institute manages the Institute with the help of Deputy Directors.
5. The number of Deputy Directors is determined by the Director of the Institute as agreed with the Minister.
6. Deputy Directors are appointed and dismissed by the Director of the Institute.
7. The internal organization of the Institute and the general scope of responsibilities of its organizational units and independent positions are stipulated in the organizational regulations of the Institute, granted by the Director of the Institute in accordance with Art. 13 Section 3 of the Act on the organization and execution of cultural activity.
8. Any amendments to the organizational regulations shall be made in accordance with the procedure established for their granting.
§8.
THE BOARD OF THE INSTITUTE
1. The Board of the Institute is a consultative and advisory body which comprises 5-11 members, including the Chair who is appointed by the Minister following consultations with the Minister of Foreign Affairs.
2. The responsibilities of the Board of the Institute include:
1) giving opinions on the execution of tasks stipulated in Chapter II hereof;
2) assessing the project of the annual budget and its execution;
3) giving opinions on annual and long-term activity plans of the Institute;
4) issuing opinions and submitting motions to the Director in all significant matters related to the Institute;
5) assistance in the search for new forms of organizational, intellectual and financial support of the Institute activity.
3. The works of the Board of the Institute are headed by the Chair.
4. A detailed manner of work of the Board of the Institute is determined in the regulations adopted by the Board of the Institute and approved by the Minister.
5. The office personnel for the Board of the Institute is provided by the Institute.
§9.
6. The Director of the Institute appoints advisory bodies, both permanent and temporary - for the execution of particular task. When appointing such body, the Director of the Institute determines its scope of activity.
7. The members of the bodies are appointed by the Director of the Institute from among widely acknowledged foreign and domestic experts.
8. Resolutions of the bodies are adopted by an ordinary majority in attendance of at least half of its members.
9. The chair of the body is elected by the members from among themselves.
10. The office personnel for the bodies of the Institute is provided by the Institute.
Chapter IV
FINANCE
§10.
1. The Institute manages its own finances according to the principles specified in the Act on on the organization and execution of cultural activity.
2. The income of the Institute include:
1) with respect to the maintenance of the Institute and ensuring the capacity to carry out its primary statutory activity - funds transferred by the Minister in the form of budget subsidy;
2) income from projects executed for governmental institutions, local governments units and other institutions and organizations;
3) resources from domestic and foreign funds, including European Union funds.;
4) resources from inheritances, bequests and donations received in cash from private persons and legal entities;
5) income from assets, in particular from rent and lease, and other similar agreements;
6) interest on bank deposits;
7) income from the sale of assets, objects and rights as well as income from services provided.
3. The Director of the Institute ensures that annual financial statements are prepared promptly, are reviewed by certified auditor and submitted to the Minister for approval. The certified auditor is chosen by the Director of the Institute.
§11.
1. Declarations on behalf of the Institute with respect to its property rights and obligations are made by two authorized persons acting jointly.
2. The authorized persons are: the Director of the Institute and Deputy Directors, chief accountant and proxies authorized in writing by the Director of the Institute.
3. The Director of the Institute may authorize certain persons to legal acts other than those referred to in Section 1 on behalf of the Institute, each time specifying the scope of power of attorney.
CHAPTER V
BUSINESS ACTIVITY OF THE INSTITUTE
§12.
The Institute may conduct business activity in accordance with its statutory objectives
CHAPTER VI
FINAL PROVISIONS
§13.
Any amendments to the Statutes shall be made in accordance with the procedure established for its granting.
